Terms of Service

These Terms of Service ("Terms") govern your use of the Mesa TMS yard management software, the Mesa TMS Driver mobile application, and the Mesa TMS website at mesatms.com (together, the "Service"), operated by BMM Media Group LLC ("Mesa TMS", "we", "our", or "us").

By accessing or using the Service, you agree to these Terms.

1. Who can use the Service

The Service is sold to trucking carriers and intermodal yard operators ("Customers"). Customers grant their employees and contracted drivers ("End Users") access via their dedicated Customer Instance.

You must be 18 or older, authorized by a Customer to use the Service, and located in a jurisdiction where the Service is lawful.

2. Your account

You're responsible for keeping your password and PIN confidential, every action taken under your account, and notifying your dispatcher immediately if you suspect unauthorized access.

3. Acceptable use

You agree not to: reverse engineer or decompile the Service beyond what is permitted by law; probe or test vulnerability without written permission; submit gate moves you did not actually perform; upload photos that violate copyright, privacy, or workplace safety rules; interfere with the Service's operation; or resell, sublicense, or share access with anyone outside your Customer's organization.

4. Customer data

Your Customer is the data controller for all yard data, container records, and driver identity information stored in their Customer Instance. Mesa TMS acts as a data processor. For deletion or access requests, contact your dispatcher first.

5. Subscription, billing, suspension

For Customers: Service is billed monthly or annually per the order form. Fees are non-refundable except as required by law. We may suspend a Customer Instance for non-payment after 14 days' notice. After suspension we retain your data for 30 days, then permanently delete it.

6. AI / OCR features

The Service uses Anthropic's Claude API to read container numbers from photos. AI output is best-effort and may contain errors. You are responsible for confirming the accuracy of AI-detected container numbers before relying on them for operational decisions.

7. Intellectual property

The Service, including all software, designs, and documentation, is owned by BMM Media Group LLC. We grant you a limited, non-exclusive, non-transferable license to use the Service while you have an active account through an authorized Customer.

You retain all rights to the data you upload. You grant us a non-exclusive license to process that data only to operate the Service for your Customer.

8. Termination

You can stop using the Service at any time by asking your dispatcher to delete your account. We can terminate or suspend your access at any time for violation of these Terms, with or without notice.

9. Disclaimers

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure; that AI-detected container numbers are always accurate; or that the Service will meet your specific operational requirements.

10. Limitation of liability

To the fullest extent permitted by law, BMM Media Group LLC, its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our total liability for any claim related to the Service is limited to the amount your Customer paid us in the 12 months preceding the claim, or $100 if you are an End User and your Customer paid nothing attributable to your seat.

11. Indemnification

You agree to indemnify and hold harmless BMM Media Group LLC from any claim arising out of your violation of these Terms, your violation of any third party right, or content you submit through the Service.

12. Governing law

These Terms are governed by the laws of the Commonwealth of Kentucky, United States, without regard to its conflict of law provisions. Any dispute must be brought in the state or federal courts located in Jefferson County, Kentucky.

13. Changes

We may update these Terms. When we do, we'll update the "Last updated" date above and, for material changes, notify Customers via email at least 30 days before they take effect.
